Additional Terms for Proactive Support and Preventive Maintenance

  • Real-Time Performance Dashboard: The Master Integrator shall provide a real-time performance dashboard accessible to the Project Owner, displaying all the key performance metrics and real-time status of the network.

  • Automated Compliance Reporting: Quarterly reports detailing SLA compliance, network performance statistics, and preventive maintenance activities.

  • Quiet Network Operation: The Master Integrator shall ensure that network operations are automated to the maximum extent possible with a target of reducing manual interventions by 30% within the first year.

Incentive and Penalty Details

  • SLA Rewards: For each month the SLAs are exceeded, the Master Integrator will receive a bonus of 1% of that month’s service fee.

  • Preventive Maintenance Rewards: If network failures decrease by 20% annually due to proactive maintenance, the Master Integrator will receive an annual bonus of $20,000.

  • SLA Penalties: Failure to meet critical SLA metrics will result in a penalty of up to 5% of the monthly service fee, proportional to the severity and duration of non-compliance.

Termination Clauses

  • Termination for Non-Performance: If the Master Integrator fails to meet the SLA requirements consistently.

  • Termination for Preventive Failure: If preventive maintenance does not result in a decrease in failure rates as agreed upon.

  • Termination for Cause: If the Master Integrator fails to meet the agreed-upon KPIs or project milestones.

  • Termination for Convenience: Subject to negotiated terms at the time of termination.
